Internal Control System
The Internal Control and Risk Management System (SCIGR) consists of the set of rules, procedures, and organizational structures designed to ensure the effective and efficient identification, measurement, management, and monitoring of key risks, with the aim of contributing to the company’s sustainable success.
Elica's ICRMS is structured on three control levels:
first level: controls integrated into the operational processes carried out by the Group Management;
second level: support and monitoring of risk oversight (e.g. Risk Management function), through the definition of methodologies, policies, internal procedures, and verification of compliance with regulations (e.g. Compliance Functions);
third level: performed by Internal Audit, it provides independent and objective assurance to the Board of Directors and top management on the adequacy and effectiveness of governance, risk management, and internal control processes.

The appointment of the statutory auditor has been entrusted to EY S.p.A. for the period 2024–2032
Following the resolution of the Shareholders’ Meeting of April 27, 2023, which considered the Directors’ Report to the meeting on the proposal to appoint the Independent Audit Firm for the nine-year period 2024–2032, including the Board of Statutory Auditors’ proposal for the appointment of the statutory auditor.

Whistleblowing is the voluntary disclosure by an individual (the “whistleblower”) of an illegal act committed within a company, which the whistleblower has witnessed in the course of their duties. The whistleblower may be an employee or a third party.
The European Whistleblowing Directive (2019/1937) was transposed into Italian law by Legislative Decree 24/2023 and has been in effect since July 15, 2023. As required by the legislation, Elica provides a reporting channel and takes all necessary measures to ensure the confidentiality of the “whistleblower” in order to prevent retaliation. In the event of reports that are clearly unfounded or defamatory, the company reserves the right to take disciplinary action.
